End User Artifical Intelligence Agreement
Welcome to the privacy policy for the Wuji app, owned and operated by Toggled Ltd ("Company," "we," "us," or "our"). This privacy policy ("Policy") outlines the types of information collected from users ("you" or "your") through the Wuji app and how we use, share, and protect that information. By accessing or using the Wuji app, you agree to the terms outlined in this Policy that govern the use of Toggled's AI products or services. By accessing or using Toggled's AI products or services, you agree to be bound by the terms of this Agreement.
1. Scope of Services
Toggled agrees to provide the User with access to and use of its AI products or services as described in the applicable service description or documentation provided by Toggled.
2. License
Subject to the terms and conditions of this Agreement, Toggled grants you a limited, non-exclusive, non-transferable, revocable license to use Toggled's AI products or services for your personal or internal business purposes.
3. Restrictions
You agree not to:
a. Use the AI products or services for any unlawful purpose or in any manner inconsistent with this Agreement.
b. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the AI products or services.
c. Modify, adapt, translate, or create derivative works based upon the AI products or services.
d. Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the AI products or services.
4. Ownership
You acknowledge and agree that Toggled and its licensors own all rights, title, and interest in and to the AI products or services, including all intellectual property rights therein.
5. Data
By using Toggled's AI products or services, you grant Toggled a non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute any data or content provided by you in connection with the AI products or services for the purpose of providing and improving the AI products or services.
6. Privacy
Toggled may collect and use personal information in accordance with its Privacy Policy, which is hereby incorporated by reference into this Agreement.
7. Warranty Disclaimer
THE AI PRODUCTS OR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOGGLED DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8. Limitation of Liability
IN NO EVENT SHALL TOGGLED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR PERFORMANCE OF THE AI PRODUCTS OR SERVICES.
9. Term and Termination
This Agreement shall commence upon your acceptance and shall continue until terminated by either party. Toggled may terminate this Agreement at any time without notice if you breach any term of this Agreement. Upon termination, you shall cease all use of the AI products or services.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the UK, without regard to its conflict of law principles.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
By accepting this Agreement, you represent that you have read, understand, and agree to be bound by its terms. If you do not agree to the terms of this Agreement, you may not use Toggled's AI products or services.
